Cooperation Agreement

  1. Who we are
    • Our company, Principal engineering s.r.o., has its registered office at Na hřebenech II 1718/8, 140 00 Prague 4, business ID No: 07808429, and is entered in the Commercial Register maintained by the Municipal Court in Prague, file ref.: C 92968.
  2. Introduction
    • This Cooperation Agreement contains the terms of cooperation between you and our company, Principal engineering s.r.o.
    • We are searching for interesting projects in IT and opportunities for our collaborators to participate in such projects. Under this agreement, we will also seek opportunities for your involvement in projects based on your professional skills and experience.
    • You can enter into this Cooperation Agreement with us in one of the following ways:
      • send us your personal data (especially your first name, last name and contact details) and/or your professional CV directly and/or a link to your professional profile on LinkedIn via the registration form on our website or on a partner website;
      • if we already have your personal data, we will send you an email with a link to our website where you can simply click to enter into this agreement with us.
    • By entering into this agreement, you confirm that you have read this agreement and the Privacy Policy published on our website, that you understand them, and that you agree with the content of this agreement. If you have any questions about any of the documents, please contact us before entering into this agreement.
  3. Subject of cooperation
    • As part of our cooperation under this agreement, we will conduct a joint interview with you to get to know your expertise better. At this interview, you will also provide us with information about yourself, including some personal data. We would like to inform you that we may transfer these data to our customers (including potential customers) if they are looking for collaborators in your field.
    • If our customer is interested in your participation in a project, we will provide you with all the necessary information to enable you to decide whether to start cooperation with us on the specific project. You will receive the following information from us, in particular:
      • in which position and how you would carry out the activity;
      • the start date and the duration of the expected cooperation with the customer.
    • You are not obliged to accept an offer to cooperate on a specific project.
    • If you accept an offer, we will send you a draft contract (which may be in the form of an order). You will start working with us on the implementation of a specific project for the selected customer only after concluding such a specific contract with us. All rights and obligations between you and us, and with the customer, will be governed by such specific contract. The conclusion of a specific contract for a specific project does not affect the duration of this Cooperation Agreement. This means we will continue to look for more opportunities for you.
    • Under this agreement, we undertake to make the necessary efforts to find an offer that will be commercially interesting for our company and for you as our collaborator. Please note, however, that entering into this agreement does not mean that we guarantee:
      • that an offer of cooperation on a specific project will be found,
      • that an offer of cooperation will actually be made to you during the term of this framework agreement,
      • that in the case of cooperation on a specific project, your cooperation with the customer will continue after the end of such project.
    • We will not charge you anything for our activities within the framework of our cooperation. We will arrange the remuneration for your work on the project in a specific contract for the specific project, as described above.
    • Please note that we do not mediate employment pursuant to the Employment Act (we are not an employment agency). We implement projects for our customers – we provide services or the capacity of consultants, our employees, or entrepreneur collaborators. We are looking for opportunities to cooperate with entrepreneurs who operate based on trade licences or other similar authorisations in accordance with the law.
  4. Personal data processing
    • For the performance of this agreement, it is necessary for us, in the position of data controller, to process the personal data you have provided to us. More information about the handling of your personal data is provided in the separate Privacy Policy.
    • Upon the termination of this agreement, we will no longer process your personal data (including your CV) for the purpose of finding further cooperation opportunities. If you are not cooperating on a specific project, or if we are not required to further process your personal data according to legal regulations, we will delete your personal data within the time frame specified in the Privacy Policy after the termination of this agreement.
  5. The responsibility of Principal engineering
    • We would like to remind you that we cannot be held responsible for our customers or for any damage that may arise as a result of force majeure. Force majeure refers to a temporary or permanent obstacle that arises independently of our will, including, for example, disruptions not caused by our technical devices.
  6. Duration of cooperation
    • You enter into this Cooperation Agreement for a period of five (5) years from the date of its conclusion.
    • If you are no longer interested in cooperating in relation to the search for projects, you may terminate this agreement at any time without giving any reason. Please send your notice by email (this may be without an electronic signature) to gdpr@principal.cz. Your notice will become effective on delivery. If we have any doubt about your identity (e.g. because you sent your notice from an address that we do not have on record for you), we will contact you for verification. In this case, your notice will only be effective once your identity has been verified. We will inform you of any problems.
    • We may terminate this agreement without notice and without giving any reason. In this case, we will send you a notice of termination to your email address. The notice is considered delivered at the moment the email is sent by us to the last email address for you that we have on record.
    • We may also terminate this agreement at any time by mutual agreement, including by email without an electronic signature.
    • Upon the termination of this Cooperation Agreement, we will cease all activities as described above in this agreement. Termination of the agreement will not affect your cooperation on ongoing specific projects.
    • This agreement is governed by the laws of the Czech Republic, in particular the Civil Code. If you are a foreign national, the Act on Conflict of Interest does not apply.
    • We can amend this Cooperation Agreement by agreement. Such an agreement must be concluded in writing, or by email if you send your email from an address registered with us and if we subsequently confirm its content.
